Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of The Brick Exchange platform ("TBEX", "we", "our", "us") operated by TheBrickExchange Ltd, a company registered in England and Wales.
By creating an account and using our platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.
2. About the Platform
TBEX is a property investment platform that enables individuals to participate in property development projects. The platform pools investor contributions and allocates them across property projects managed by TBEX.

3. Eligibility
To use TBEX you must:
- Be at least 18 years of age
- Be a UK resident
- Have a valid UK bank account in your own name
- Complete identity verification (KYC) as required by your account tier
- Not be a Politically Exposed Person (PEP) without prior disclosure and approval
4. Account Registration and Verification
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials, including any two-factor authentication (2FA) setup.
We reserve the right to suspend or close accounts that provide false information or fail to complete required verification steps within the specified timeframe.
4.1 Account Tiers
Your account tier determines your deposit and withdrawal limits. Tier upgrades require completing additional verification steps including 2FA enrollment and identity verification (KYC). Full details of tier limits are provided within the platform.
5. Deposits and Investments
Deposits are held in a segregated client money account operated by TBEX Investments Ltd, separate from the operating company's funds, in accordance with FCA Client Assets Sourcebook (CASS) rules.
When you deposit funds:
- You will receive a unique payment reference
- Deposits must be made from your verified bank account
- Deposits are subject to your account tier limits
- Funds are not accessible until the deposit is confirmed by our team
6. Investment Allocation
Investments are allocated to property projects through our allocation system. By opting in to auto-fund, you authorise TBEX to allocate a proportion of your available balance (determined by your risk percentage setting) to eligible projects.
Once allocated, funds are committed to that project for its duration. You cannot withdraw allocated funds until the project completes or is cancelled.
7. Returns and Withdrawals
Returns from property projects are distributed upon project completion. Returns are not guaranteed and depend on the actual performance of each property project. Your capital is at risk.
Withdrawal requests are subject to:
- Your account tier withdrawal limits
- Available (unallocated) balance
- Completion of identity verification
- Processing by our team (typically within 5 business days)
8. Fees
TBEX co-invests 25% in every project alongside investors. The platform earns revenue through its share of project returns and a management fee. Full fee details are disclosed on individual project pages before allocation.
9. Risk Warnings
Your capital is at risk. Property investment involves risk and you may lose some or all of your investment. Past performance is not a reliable indicator of future results. Investments on this platform are not covered by the Financial Services Compensation Scheme (FSCS). Please read our Risk Disclosure page in full before investing.
10. Your Obligations
You agree to:
- Provide accurate information at all times
- Notify us promptly of any changes to your personal details
- Keep your login credentials and 2FA codes secure
- Not use the platform for money laundering or any unlawful purpose
- Comply with all applicable laws and regulations
11. Complaints
If you are dissatisfied with our service, please follow our Complaints Procedure. We will acknowledge your complaint within 5 business days and aim to resolve it within 8 weeks. If you remain dissatisfied, you may be eligible to refer your complaint to the Financial Ombudsman Service.
12. Data Protection
We process your personal data in accordance with UK GDPR and the Data Protection Act 2018. Please see our Privacy Policy for full details.
13. Account Closure
You may request to close your account at any time through the Settings page. If you have active investments, your account will remain open until those projects complete and funds are returned. We retain financial records for a minimum of 7 years in accordance with regulatory requirements.
14. Limitation of Liability
TBEX does not guarantee any return on investment. Property projects may underperform, and in exceptional circumstances you may lose your entire investment. TBEX absorbs cost overruns beyond contingency, but cannot guarantee project completion.
15. Changes to Terms
We may update these Terms from time to time. You will be notified of material changes via email and will be asked to accept the updated Terms to continue using the platform. The version number and date at the top of this page indicate the current version.
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
